PUBG Developers Challenge Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. The Competition is void where prohibited by law. 

These rules, together with the Developer Terms (as defined below) and any other instructions or directions available on the Competition website located at https://play.overwolf.com/pubg-dev-challenge/ (the “Competition Website”), are the terms and conditions (the “Official Rules”) of the “PUBG Developers Challenge” contest (“Competition”). “Developer Terms” means the Overwolf Developer Terms and Conditions and the applicable linked pages available at [http://developers.overwolf.com/terms/developers-terms/] (the “Overwolf Developer Terms”) and the PUBG Developer Terms and Conditions and the applicable linked pages available at [https://developer.pubg.com/tos?locale=en] (the “PUBG Developer Terms”). Please read the Developer Terms carefully.
By entering the Competition, you (or your parent/legal guardian if you are a minor) confirm your acceptance of the Official Rules. Please read the Official Rules carefully. If you do not agree to the Official Rules, do not enter this Competition.
The Competition is a skill-based contest organized and facilitated by Overwolf Ltd., a company incorporated under the laws of the State of Israel (“Overwolf”) and by PUBG Santa Monica, Inc., a company incorporated under the laws of the state of Delaware (“PUBG”).

ACCEPTANCE OF THE PUBG API TERMS OF USE 
1. As stated above, this Competition is also subject to the PUBG Developer Terms. Please read the PUBG Developer Terms carefully, including the PUBG monetization policy.

PUBG MONETIZATION POLICY 
2. The PUBG API is free, publicly accessible, and was created to enrich the experience of the entire PUBG community. The need to offset some of the costs associated with building an application or website using the PUBG API is understandable, so the list below contains the guidance of acceptable ways for you to monetize your PUBG API projects, including any app you submitted in this Competition. The PUBG API is meant to enrich the community, therefore PUBG kindly asks that you do not create an environment where users feel pressured to spend money. While the guidelines in the PUBG Developer Terms and the list below give an overall indication of what is allowed and not allowed, PUBG reserves the right to require any form of monetization (including donations) be removed from a project if we deem it to be contradictory to the goal of such project. These judgments will be made on a case by case basis, in PUBG’s sole discretion.

Allowed (Monetization): 
Advertisements - Ads are the PUBG-preferred method of monetization for you to offset your costs. They must exist alongside the information but must not gate it or force interaction.
Paid Removal of Advertisements - We understand that ads can be annoying to some users, so we are allowing you to provide users with the option to remove ads for a set cost. This payment must not include any additional benefits, features, or exclusive access to users other than the removal of ads. Additionally, your API project must be available for free to all users, with the paid removal of ads as an optional quality-of-life feature.
Donations - Donations are allowed as long as they do not violate the Crowdfunding rules laid out below. Simply put, a user must never feel pressured to donate to your organization. If an individual enjoys your content and wants to contribute freely to your project, they may. However, they cannot be granted any special benefits from doing so.
Subscriptions - Subscriptions are allowed as long as they do not violate the Exclusive Access rules laid out below.

Strictly Forbidden (Monetization): 
Exclusive Access - You may not charge money for exclusive access to features that are based, in whole or in part, on data gained from the PUBG API.
Crowdfunding - By its very nature, crowdfunding grants benefits to those who have contributed that are not available to those who have not. As a result, we cannot allow this type of monetization. As stated above, if a player wants to contribute freely to your project, they may. However, they cannot be granted any special benefits from doing so.
 
ELIGIBILITY 
3. The Competition is open to any individual who meets the following requirements (“Entrant”):

The participant must be (i) at least eighteen (18) or the age of legal majority in his/her jurisdiction of residence, whichever is higher, at the time of Submission; or (ii) at least fourteen (14) years old and have the consent of his/her parent or guardian to participate at the time of Submission. In any case, this Competition is not open to any individual under the age of fourteen (14). All participants who are fourteen (14) years or older but have not reached the age of majority in their jurisdiction of residence must have parental or guardian consent to enter and must provide proof of such consent upon request by Overwolf and/or PUBG.

The participant is NOT a resident of any country or government that is the subject of any sanctions administered by the U.S. government, including, without limitation, Cuba, Iran, North Korea, Sudan, Syria, and the Region of Crimea.

The participant is NOT a resident in a jurisdiction whether the Competition is otherwise prohibited or restricted by local laws and regulations.

Employees, officers, and directors of Overwolf and PUBG and their immediate families are not eligible to enter the Competition.

It is the participant’s sole responsibility to ensure that he or she is legally eligible to enter the CoMPETITION and receive the prizes under THE laws AND REGULATIONS of his or her jurisdiction of residence AND ALL INFORMATION PROVIDED BY HIM OR HER IS TRUE, ACCURATE, CURRENT, AND COMPLETE.

Overwolf and PUBG, in their sole discretion, reserve the right to disqualify any individual who does not meet the eligibility requirements or who provides outdated, incomplete, misleading, or false information about his or her identity, age, or eligibility.
 
4. All participants (or the participant’s parent/legal guardian if he or she is a minor) must have read and accepted the Developer Terms before participating in this Competition.
 
5. For purposes of the Official Rules, “Platform” means Overwolf’s and PUBG’s respective software client which integrates apps, social media tools and functionality with games. “Platform API” means developer’s application program interface which allows developers to create applications for use on the Platform, including without limitation any software development kit which Overwolf and/or PUBG may provide to the Entrant. “Submission” means each submission to the Competition, including, without limitation, any proposal, documentation, and any app, regardless if it is a draft or the final version.
 
SUBMISSION PERIOD AND PROCESS 
6. The Submission Period starts on 12:01AM on [February 20th, 2019] and ends on 11:59PM on [May 14th, 2019] and includes the following phases and deadlines: Submissions shall be accepted from 12:01AM on [February 20th, 2019] (the “Registration opens”), until 11:59PM on [March 6th, 2019], for proposals (the “Proposal submission deadline”). A first testable version of your app should be submitted before 11:59PM on [March 31st, 2019] (the “First draft delivery”). The final app should be submitted before 11:59PM on [May 14th, 2019] (the “Final submission”). Please see detailed requirements for each phase on the FAQ page [https://play.overwolf.com/pubg-dev-challenge-faq/].  Winners will be announced on [May 26th, 2019] (the “Winners announcement”). All times are [Pacific Standard Time]. The Submission Period, the deadline for each phase, and the Winners announcement date may be extended by PUBG in its sole discretion. All entries must be received during this Submission Period and meet the required deadline for each phase to be eligible to win a prize.
 
7. By submitting a Submission, each Entrant expressly accepts the Official Rules. Entrants that have not accepted the Official Rules shall not be eligible for any prizes. Apps that do not comply with the Official Rules shall not constitute valid Submissions.
 
SUBMISSION MATERIAL 
8. All Submissions must adhere to the following requirements:
 
a. Each Entrant (be it an individual or a team) may only submit one (1) Submission. The Submission must be an original, previously unpublished work that does not contain or use any content, material or element that is owned by a third party or entity. The Submission cannot contain any content, element, or material that violates a third party’s publicity, privacy, moral or intellectual property rights. By submitting any Submission, each Entrant represents and warrants that she/he has all rights (including all intellectual property and moral rights) necessary to submit such Submission to the Competition and to grant Overwolf and PUBG rights in such Submission as set forth in Section 17 below.
 
b. Entrants may not (a) copy, sublicense, adapt, modify the Platform API; (b) develop or distribute the Platform API or app, except through the functionality expressly provided by the Platform, (c) disassemble, reverse engineer, attempt to find the underlying code of, or decompile the Platform or Platform API, or (d) circumvent any security mechanisms of the Platform or Platform API.
 
c. In the event that there are multiple participants in your Submission, you must, in the reasonable opinion of Overwolf and PUBG, clearly identify the Entrants and designate one Entrant as the Entrant on record. A maximum of four (4) participants are allowed to work as a team. Each participant may belong to only one team within the Competition, and each team may only submit one (1) Submission to the Competition. Regardless of team size, prizes will be delivered to the address of the Entrant on record and shared internally among the team members. Each team is solely responsible for its own cooperation, teamwork, disputes, and prizes allocations. In no event will Overwolf or PUBG be responsible for any dealings or disputes among team participants.      
 
d. The Submission must not be derogatory, offensive, threatening, defamatory, disparaging, libelous or contain any content that is inappropriate, indecent, sexual, profane, indecent, tortuous, slanderous, discriminatory in any way, or that promotes hatred or harm against any group or person, or otherwise does not comply with the theme and spirit of the Competition.
 
e. The Submission must not contain content, material or any element that is unlawful, or otherwise in violation of or contrary to any applicable federal, state, or local laws and regulations, or the laws or regulations in any jurisdiction where the Submission was created or submitted.
 
f. The Submission must not include any virus, worm, adware, spyware or other malicious software, or any software or programs which could violate the privacy rights of any end user or send messages (including emails or SMS) to any end user that an end user could possibly find abusive, harassing, needlessly repetitive, or any messages that violate any applicable law, rule or regulation.
 
g. The Submission must not contain any content, material or element that displays any third-party advertising, slogan, logo, and trademark or otherwise indicates a sponsorship or endorsement by a third party or commercial entity, provided, however, that the Submission may include any sponsor content provided by Overwolf, PUBG, and/or their partners solely for the purposes of making Submissions for this Competition. The Entrant may make no other use of such sponsor content.
 
Overwolf and/or PUBG may disqualify any Submission that does not, in their sole discretion, satisfy the foregoing or other requirements in the Official Rules. Overwolf and/or PUBG shall have no obligation to justify or explain the disqualification of any Submission. Further, Overwolf and/or PUBG may remove and/or delete any Submission that does not comply with the Official Rules without providing any notice.

If you or your team attempt to compromise the integrity or the legitimate operation of this Competition, or if Overwolf and PUBG have reason to believe that you or your team have compromised the integrity or the legitimate operation of this Competition by cheating, hacking, creating a bot or other automated program, or by committing fraud or deceptive acts in any way, Overwolf and PUBG may disqualify you, ban you from participating in this Competition and any future competition, and seek damages from you to the fullest extent permitted by law. Entrants shall defend, indemnify and hold harmless Overwolf, PUBG and their affiliates, employees, officers, directors, licensors, licensees, successors and assigns from any claim, damage, loss, liability, expense or cost (including legal fees and court costs) connected to or arising from the Entrant’s participation in the Competition and any violation of the Official Rules by the Entrant, including without limitation for infringement of any rights held by any third parties, to the maximum extent permitted by law.
 
SELECTION OF THE WINNER 
9. [Three (3)] apps will be selected as winners of the Competition (each a “Winner”). Each Winner shall be determined by Overwolf and PUBG teams based on the following judging criteria: 

  • Player value (what's in it for the player? why should I use it?): 50% 
  • Technical quality (responsiveness, light, ease of use): 30% 
  • Design and visual effects (friendly user experience, appealing): 20% 

10. Any decision of Overwolf and PUBG regarding the selection of any Winner is final and binding. Overwolf and PUBG will not consider any appeals subsequent to the selection of a Winner.
 
11. Overwolf and PUBG currently expect that the Winners will be selected on [May 19th, 2019]. However, PUBG and/or Overwolf may extend the Submission Period and Winner announcement date in their sole discretion. Any change of the Submission Period, the deadline for each Competition phase, and Winner announcement date will be detailed on the Competition Website landing page and/or on social networks.

Winners are solely responsible for the payment of any and all taxes and/or other government charges in respect of any prize. Overwolf and PUBG shall not be liable for the payment of any tax or fees related to the prizes.

Winners may not exchange non-cash prizes for cash or any other merchandise or services. However, if for any reason a prize is not available, Overwolf and PUBG reserve the right to substitute a prize of equal value.

Winners may not designate someone else as the winner. If a Winner is unable or unwilling to accept the prizes, Overwolf and PUBG may award them to the next highest scoring Entrant.
If a Winner is otherwise eligible, but is considered a minor in his/her place of residence, then Overwolf and PUBG may award the prizes to such Winner’s parent/legal guardian on his/her behalf.

All cash or bank checks must be deposited within [nighty (90) days] of the validity date printed on the check. If the check expires, the Winner will not be reissued a new one.
 
13. The Winners will be notified by email within [fourteen (14) business days] (the “Notification Period”) of their selection. The details of the Winners will be made available on the Competition Website landing page as well.
 
14. In the event that Overwolf and/or PUBG cannot for any reason contact the Winners during the Notification Period, Overwolf and/or PUBG reserve the right in their sole discretion to select other Winners or to determine that there shall be no Winners. Overwolf and/or PUBG further reserve the right to postpone and/or cancel the Competition at any time and in their sole discretion.
 
15.  If you are selected as a potential winner, Overwolf and PUBG may require you to (i) provide a written acknowledgement of acceptance of the Official Rules and (ii) complete and sign an Affidavit of Eligibility, Liability and Publicity Release and W-9 tax form (for U.S. residents) or W-8BEN tax form (for non-U.S. residents). If you are a minor in your place of residence, Overwolf and PUBG may require your parent or legal guardian to sign all required forms on your behalf. If you do not complete the required forms as instructed and/or return the required forms within the time period listed on the winner notification message, Overwolf and PUBG may disqualify you and select the next highest scoring Entrant.
 
PERSONAL DATA
16. Personal information collected from you as a result of any Submission will be used (a) for the purpose of administering the Competition, including for providing any notifications regarding the Competition and (b) in order to provide you with newsletters about various Overwolf and PUBG products, activities, events or contests. By accepting the Official Rules or by participating in the Competition, you grant Overwolf and PUBG an irrevocable right to use any information provided by you in connection with the Competition, in any way, at their sole discretion, including for the purpose of publications and presentation of the information by Overwolf, PUBG or anyone on their behalf (including commercial and advertising information), in accordance with any applicable laws and regulations and Overwolf Privacy Policy [http://www.overwolf.com/legal/#Privacy-policy] and PUBG Privacy Policy [https://www.pubg.com/privacy/]. By accepting the Official Rules or making a Submission, you affirmatively consent to receive such commercial messages. You can request to stop receiving future communications from us by following the unsubscribe link located at the bottom of each communication.
 
RIGHTS IN SUBMISSIONS
17. Entrants retain ownership of their Submissions, provided, however, that the Entrants shall have no ownership of (i) Overwolf’s and PUBG’s Platform and Platform API and (ii) PUBG’s games. Subject to the foregoing, by submitting any Submission, each Entrant grants Overwolf and PUBG a worldwide, exclusive (subject to the Entrant’s rights as set forth above), royalty-free, perpetual and irrevocable license to (i) use, review, assess, test, and otherwise analyze your Submission and all its content in connection with this Competition; (ii) display, feature and publish your Submission and all its content in all media (now known or later developed); and (iii) copy, modify, create derivative works, publish, display, broadcast, rebroadcast, sell, distribute, and use such Submission for any purpose, including Overwolf’s and PUBG’s own commercial purposes.
 
18. To the extent permitted by applicable law, Entrant agrees not to assert any moral rights in any Submission against Overwolf, PUBG, or any of their affiliates, and waives any and all claims against Overwolf, PUBG, and their affiliates in respect of any moral rights in any Submission.
 
19. For more information regarding intellectual property rights with respect to any Submission, including after the termination of the Competition and/or of the Developer Terms, please see the Developer Terms.
 
GENERAL
20. Entrants should retain copies of all submitted materials for their records. Overwolf and PUBG can accept no responsibility for Submissions lost, delayed, misdirected, damaged or undelivered. Incomplete and/or illegible Submissions or any other Submissions that do not meet the requirements set forth in the Official Rules will be disqualified. Overwolf and PUBG shall not be responsible for technical errors in telecommunications networks, Internet access or otherwise, preventing entry to the Competition.
 
21. The prizes are as stated, are personal and are non-transferable. Only one prize will be awarded to one winning Submission to the Entrant on record, regardless how many people contribute to the Submission. If due to circumstances beyond Overwolf’s and PUBG’s control a stated prize cannot be provided, Overwolf and PUBG reserve the right to award a substitute prize of equal value. All prizes are, where applicable, subject to the additional terms and conditions of the manufacturer or supplier.
 
22. Overwolf, PUBG, and their affiliates shall not be liable to the Winners and hereby disclaim all liability for any loss or damage howsoever caused (whether in contract, tort or statutory duty or otherwise) arising out of or in connection with the Competition, any Submission, and/or any prize. By entering the Competition, Entrants waive to the full extent permissible by law, any and all claims that they may have against Overwolf, PUBG, and their affiliates, directors, officers, agents, employees, licensors, and licensees in respect of the Competition.
 
23. Overwolf, PUBG, and their affiliates shall not be liable for any delay in performing or partial or total failure to perform any of their obligations to the Entrants under these Official Rules if such delay or failure is caused by circumstances beyond their reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions however caused, including without limitation, as a result of war, terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes.
 
24. Overwolf and PUBG reserve the right to amend the Official Rules at any time in their sole discretion by posting an amended version thereof. Overwolf and PUBG also reserve the right to cancel, suspend, and/or modify the Competition, or any part of it, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Competition, as determined by Overwolf and PUBG in their sole discretion. If terminated, Overwolf and PUBG may, in their sole discretion, determine the Winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Overwolf and PUBG, in their sole discretion, reserve the right to disqualify any individual they find to be tampering with the Submission process or the operation of the Competition or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Competition may be a violation of criminal and civil law, and, should such an attempt be made, Overwolf and PUBG reserve the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Overwolf’s and PUBG’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

25. These Official Rules shall be governed by and construed in accordance with the laws of the State of Washington without regard to its conflict of law principles, and you consent to the exclusive jurisdiction and venue of the courts in King County, Washington in relation to any disputes arising in respect of the Competition or the Official Rules.

26. All decisions of Overwolf and PUBG on all matters related to this Competition will be final and binding.
